1. TERMS
By participating in the ZAP by Paystack Referral Program (the "Program"), you (a "user" or "you") confirm that you have read, understood, and agree to be bound by these Terms and Conditions (the "Terms"), as well as the Zap by Paystack App General Terms and Conditions. Participation in the Program will also require that Paystack processes consent to Paystack's processing of your Personal Data as described under these Terms, and in line with Paystack's Privacy Policy and Cookie Policy and in Paystack's Acceptable Use Policy which are incorporated by reference into these Terms. In the event of a conflict between these Terms and any terms incorporated by reference into these Terms, these Terms shall prevail.
Users may earn reward points ("Points") on referrals/threshold transactions made. Points may be redeemed on the Zap by Paystack App ("Zap App") as cash or non-cash rewards (such as discounts, rewards, and exclusive experiences), subject to availability and applicable terms.
Paystack Payments Limited ("Paystack", "we", "us", or "our") reserves the right to modify these Terms at any time without prior notice to you; provided that where we reserve the right to notify you of any changes to the existing terms or the addition of new terms, the notification will be done by posting an updated version of these Terms on the Zap App or delivering notice to you electronically. Your continued participation in the Program in such instances will constitute your consent to the updated Terms.
2. PROGRAM PERIOD
The Program may operate for a specified period (the "Referral Period") or on an ongoing basis until suspended or terminated by Paystack. The Referral Period shall be communicated through the Zap App, emails, or related promotional material. Paystack reserves the right, at its sole discretion, to suspend, modify, extend or terminate the Program at any time. The Program is designed to reward: (a) existing Zap users ("Referrers") who refer new users to the Zap App by sharing their unique referral link or code; and (b) new users who register on the Zap App using a valid referral link or code provided by a Referrer ("Referred Users") with the inclusion of any expected activity or series of activities to enjoy the program benefit.
3. ELIGIBILITY CRITERIA
Participation in the Program is subject to the eligibility criteria set out below for both Referrers and Referred Users. To qualify for any reward under the Program, a Referred User must complete the sign-up process and all required activation steps, including any specified Qualifying Transfers (real, successful, non-reversed transfers that meet defined thresholds), within the applicable Referral Period. Any referrals, registrations, activation steps, or qualifying transactions completed outside the relevant Referral Period shall not be eligible for any Points under the Program.
3.1 Referrer Eligibility
To qualify as a Referrer under this Program, you must:
maintain an active and valid ZAP account;
not be in breach of any Paystack policies, guidelines, or Terms of Service;
comply with all Applicable Laws, regulations, and these Terms;
not have previously been suspended, restricted, or terminated by Paystack for any reason;
be a resident of Nigeria with a valid Bank Verification Number (BVN) and a linked local bank account;
have maintained an active account on the App for at least two (2) weeks prior to participating in the Program;
have completed a minimum of five (5) transactions on the App; and
have completed at least one (1) transaction within the four (4) months immediately preceding participation in the Program.
Paystack reserves the right to review and update these eligibility criteria from time to time, and to determine, at its sole discretion, whether a user qualifies as a Referrer under the Program.
3.2 Referred User Eligibility
To qualify as a Referred User, the User must:
be a new user to Zap, as determined by Paystack in its sole discretion;
be at least eighteen (18) years old, with legal capacity to accept these Terms and enter into transactions with third parties. If you are a business or corporate organization, be a duly registered/incorporated entity in Nigeria;
not have previously created or attempted to create a Zap account using the same phone number, email address, device, bank account, valid means of identification, or other identifying information;
not have been previously suspended, restricted, or terminated by Paystack;
complete all required onboarding, verification, and Know-Your-Customer (KYC) processes successfully; and
comply with all Applicable Laws, regulations, and these Terms.
3.3 INVALID OR EXHAUSTED REFERRAL CODES
Use of a referral code that is invalid, expired, or has reached its usage limit will not prevent a user from creating or maintaining an account. However, the referred user will not be eligible to receive any referral rewards associated with that code.
3.4 Discretion and Verification
Paystack reserves the right to:
determine whether any Referrer or Referred User meets the eligibility criteria;
disqualify any participant who engages in fraudulent, manipulative, or abusive, or otherwise improper conduct; and
require additional documentation or verification to confirm eligibility.
4. REFERRAL METHOD
All referrals must be made exclusively through a unique referral code or link generated within the ZAP App. For a referral to be valid, the Referred User must use the Referrer's code or link during the sign-up process and successfully complete all required registration, onboarding, and activation steps within the applicable Referral Period.
A referral shall be deemed invalid where:
the referral link or code was obtained or shared through any fraudulent, unauthorized, or prohibited means;
the Referrer engages in spam, misleading promotion, impersonation, or unauthorized paid advertising to generate referrals;
the Referred User fails to satisfy the eligibility requirements set out in Section 3.2; or
Paystack determines, in its sole discretion, that the referral was made in breach of these Terms, any applicable policies, or any Applicable Law.
Paystack reserves the right, at any time and without prior notice, to review, validate, verify any referral and to reject any referral that it reasonably considers to be suspicious, fraudulent, abusive, or otherwise in breach of these Terms.
5. ACTIVATION REQUIREMENTS
Points under the Program are activation-based and will only be triggered upon the completion of a Qualifying Transfer. The Qualifying Transfers must:
be real, successful, and completed transactions executed through the Zap App;
meet or exceed the minimum threshold as determined by Paystack from time to time within the Referral Period;
not be reversed, refunded, charged back, disputed, or deemed suspicious;
occur within the specified Referral Period;
not include self-transfers, circular transfers, fund recycling, transfer beneficiaries uniqueness and require 30-minute spacing between transfers;
not constitute a self-transfer, including transfers between accounts owned, controlled, or operated by the same individual;
not form part of circular transfers, fund recycling, or any coordinated activity intended to artificially generate transaction volume or simulate genuine transfers;
be made to unique beneficiaries, and repeated transfers to the same beneficiary may be excluded from eligibility at the Company’s discretion;
be spaced by at least thirty (30) minutes between each transfer; and
represent genuine payment activity consistent with the intended use of the Program.
Paystack reserves the right to review and determine, at its sole discretion, whether a transfer qualifies as a Qualifying Transfer, and may exclude any transaction that does not comply with these conditions.
6. POINTS
Points under the Program may include:
6.1 Lump-sum bonuses
A one-time token given to the user upon satisfaction of a specified condition, as may be provided by Paystack.
6.2 Progressive per-referral bonuses
Points that increase incrementally based on the number of successful and verified referrals made by a Referrer, such that each additional referral may attract a higher bonus.
6.3 Activity-based incentives
Points tied not only to the successful referrals but also to the User's subsequent activities, including completing transactions, meeting specified spending thresholds, or utilising designated features within the app.
6.4 Time-limited campaign bonuses
Points offered for referrals or Qualifying Transfers completed within the Referral Period, after which such bonuses shall no longer be available unless otherwise extended or renewed by Paystack.
6.5 Reward Holding Period
Rewards earned under the Program will be reflected as pending for a holding period of seventy-two (72) hours from the time the applicable Qualifying Transfer is completed. During this period, the reward will be visible but will not be redeemable or withdrawable. Paystack reserves the right to extend the holding period where additional review is required, including but not limited to fraud or compliance checks.
Unless otherwise expressly stated, all rewards shall be credited to the user's Zap account and are non-transferable. The nature, amount, limits, and structure of the Points may vary and remain subject to Paystack's sole discretion. Paystack reserves the right to withhold, reverse, cancel, or debit any Points or rewards where eligibility requirements are not satisfied, a Qualifying Transfer is reversed or invalidated, fraud or abuse is detected, or a credit was made in error.
7. REFERRAL CAPS
The number of eligible referrals per Referrer shall be subject to such limits as may be determined and communicated, capped at ten (10) persons, unless otherwise specified by Paystack for the applicable campaign within the Program. Paystack reserves the right, at its sole discretion, to set, modify, suspend or remove limits on referrals or related rewards caps at any time. Such limits may include, without limitation, a maximum number of referrals per Referrer or a maximum aggregate reward amount per Referrer. Any Referrers who exceed the prescribed limit shall not be entitled to receive Points or any other reward.
8. PROHIBITED CONDUCT
8.1
Users shall not engage in any conduct that undermines the integrity of the Program. Without limitation, Users must not:
create multiple ZAP accounts for self-referral;
use fake, stolen identities;
deploy automated systems, bots, scripts, or bulk account creation methods;
engage in fraudulent, or self-refunded transactions;
post referral links on coupon, discount, or deal aggregation platforms without prior authorization, or otherwise misrepresenting Zap or Paystack;
topping up an account solely to execute qualifying transfers and immediately withdrawing the funds;
using a single pool of funds across multiple accounts to complete qualifying transfers; or
coordinating with other users to artificially complete referral requirements.
Paystack reserves the right to review transaction activity and disqualify any rewards associated with such activities.
8.2
Where Paystack detects or reasonably suspects fraud, abuse, or any suspicious or manipulative activity, it may:
disqualify referrals;
reverse or withhold rewards; and
suspend, freeze, or close the relevant accounts.
9. PROGRAM MODIFICATIONS OR TERMINATION
Paystack reserves the right to modify, suspend, or discontinue the Program at its discretion and at any time or limit or withdraw specific rewards or incentives. Modification or suspension may affect a User's ability to redeem accumulated Points.
If the Program is discontinued, you will have a reasonable period to redeem your unexpired Points, which will be communicated via the Zap App or your Zap-registered email.
10. LIMITATION OF LIABILITY
In no event will Paystack or its Affiliates be liable for any claims, actions, demands, losses, liabilities, damages, costs or expenses caused by, arising out of, or in connection with your participation in the Program, including without limitation the use or misuse of the rewards given under the Program.
Paystack makes no warranties about the satisfactory quality or suitability of the non-cash rewards or third-party goods and services acquired through the Program.
To the extent permitted by Applicable Law, Paystack is not liable for losses resulting from technical issues, errors, or outages; loss or misuse of your Zap credentials or Points; or indirect or consequential damages arising from participation in the Program.
11. DISCLAIMER
The Program is provided on an "as is" and "as available" basis and is intended solely as a referral reward scheme. Participation in the Program does not create any contractual, fiduciary, banking, or investment relationship between you and Paystack.
The Program does not constitute a deposit, investment, savings, or interest-bearing product, and any Points or cash rewards earned are promotional benefits only, without any guarantee of future availability or monetary value until redeemed in accordance with these Terms.
Paystack makes no representations or warranties, express or implied, regarding the accuracy, reliability, or availability of the Program, or that participation will be uninterrupted or error-free. To the fullest extent permitted by Applicable Law, Paystack disclaims all liability for any loss, damage, or injury arising from your participation in the Program, including but not limited to loss of Points, service interruptions, transaction errors, or third-party offers or rewards.
12. DATA PRIVACY
By participating in the Program, you consent to Paystack's use of your Personal Data, including email address, transactional data, and reward redemptions for the purposes of administering and improving the Program.
Data security measures will be taken to safeguard your Personal Data including user information. We will process your Personal Data in accordance with applicable Data Protection Law, including the Nigeria Data Protection Act 2023 and our Privacy Policy.
13. MISCELLANEOUS
Paystack may vary the reward amounts, activation thresholds, referral caps, qualifying criteria, and duration of the Program from time to time, and such variations shall remain subject to these Terms.
Paystack reserves the right to suspend or disqualify you if you use or are suspected of using the Program in a manner inconsistent with these Terms or otherwise fail to comply with Applicable Law. Paystack shall have the right to take appropriate administrative and/or legal action, including criminal prosecution, as it deems necessary in its sole discretion.
You undertake not to:
resell, trade, barter or otherwise generate income by providing access to the Program to others;
conduct any illegal activity or solicit the performance of any illegal activity;
attempt to gain unauthorized access to the Program, other accounts, computer systems, or networks connected to the Program;
impersonate any person or otherwise misrepresent their identity; or
violate any Applicable Law.
Paystack reserves the right to prohibit you from participating in the Program or receiving a Point or reward, if it determines that you are attempting to undermine (or have undermined) the fairness, integrity or legitimate operation of the Program in any way by (a) cheating, hacking, deception, or any other unfair conduct; (b) using any affiliate website, affiliate network properties or automated systems to participate in the Program; (c) using multiple or fake email addresses or accounts, fictitious identities or bots or other device or artifice to participate in the Program or receive Points or rewards.
At our request, you agree to defend, indemnify, and hold Paystack harmless, together with its Affiliates and their respective employees, officers, directors, agents, and third-party service providers from and against any and all claims, suits, liabilities, damages (actual and consequential), losses, fines, penalties, costs, and expenses (including reasonable attorney fees) arising from or in any way related to any third-party claims relating to your participation in the Program, violation of these Terms, Applicable Law, any third-party rights, your fraud, negligence or willful misconduct. Such indemnified parties reserve the right to assume the exclusive defence and control of any matter subject to indemnification by you, in which event you will cooperate in asserting any available defences.
The failure of either you or us to exercise, in any way, any right under these Terms will not be deemed a waiver of any further rights hereunder. Specifically, you agree that if we do not exercise or enforce any legal right or remedy which is contained in these Terms, this will not be taken to be a formal waiver of our rights and that those rights or remedies will still be available to us.
In the event that any provision of these Terms is determined to be unlawful, void or unenforceable, such provision shall be deemed to be severed from these Terms but shall not affect the validity and enforceability of the other remaining provisions.
We shall not be liable for any delay or failure to perform as required by these Terms as a result of any cause or condition including but not limited to, an act of God, epidemic, pandemic, act of civil or military authorities, act of terrorists, civil disturbance, war, strike or other labour dispute, general market conditions, fire, interruption in telecommunications or internet services or network provider services, failure of equipment and/or software or any other occurrence which is beyond our reasonable control and shall not affect the validity and enforceability of any remaining provisions.
These Terms together with all documents incorporated by reference constitute the entire agreement between you and us and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings, whether written or oral, relating to the Program. Each party acknowledges that in entering into these Terms it does not rely on and shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in these Terms. Each party agrees that it shall have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in these Terms. Nothing in this clause shall exclude or restrict the liability of either party arising out of its pre-contract fraudulent misrepresentation or fraudulent concealment.
14. DISPUTE RESOLUTION
These Terms and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, the applicable law to these Terms.
Where a dispute arises out of these Terms in connection with the Program, Paystack and the user shall attempt to resolve the dispute by negotiation.
Where Paystack and the user are unable to resolve the dispute within thirty (30) days from the date of notification of the dispute, either party may refer the dispute to a competent court, sitting in Lagos, Nigeria.
15. DEFINITIONS AND INTERPRETATION
In these Terms, the following definitions apply:
"Affiliate" means, with respect to any person or entity, any other person or entity that directly or indirectly controls, is controlled by, or is under common control with that person or entity. For this purpose, control means the possession, directly or indirectly, of the power to direct or cause the direction of the management or policies of an entity, whether through ownership of voting securities, by contract, or otherwise.
"Applicable Law(s)" means in respect of either party, all laws, statutes, regulations, directions, guidelines and codes of conduct of any governmental or other regulatory body of competent jurisdiction, and any orders of any court or other tribunal of competent jurisdiction within Nigeria, which are applicable to the performance by that party of its obligations or enjoyment of its rights under these Terms.
"Data Protection Law" means the Nigeria Data Protection Act and any applicable legislation and/or regulation implementing or made pursuant to it, or which amends, replaces, re-enacts or consolidates any of them, and all other applicable laws relating to the processing of Personal Data and privacy that may exist in Nigeria, including, where applicable, the guidance and codes of practice issued by supervisory authorities.
"Program" means the Zap by Paystack Referral Program.
"Points" means virtual units of reward value under the Program.
"Personal Data" means any information relating to an identified or identifiable natural person; an identifiable natural person is one who can be identified, directly or indirectly, in particular by reference to an identifier such as a name, an identification number, location data, an online identifier or to one or more factors specific to the physical, physiological, genetic, mental, economic, cultural or social identity of that natural person; It can be anything from a name, address, a photo, an email address, bank details, posts on social networking websites, medical information, and other unique identifier such as but not limited to MAC address, IP address, IMEI number, IMSI number, SIM and others.
"Qualifying Transfer" means a successful and completed transfer of funds carried out by a Referred User through the Zap App during the applicable Referral Period, which meets the minimum threshold.
